The team: a consortium of specialists

Registre Général was born out of a concrete need, that of a business lawyer at the Paris bar, who filled out registers by hand for 20 years and no longer wanted to do so, Franz Vasseur. With PhD student Clément Fontaine, Seraphin.legal, Deep Block - blockchain expert, easyQuorum - expert in online meetings, and Kriptown - an expert in the liquidity of the secondary market on blockchain, a team has come together to revolutionise the social life of companies.

The challenge: Managing social registers

Company directors are now legally obliged to keep several registers relating to their company: the register of share movements, the register of meetings and decisions and the single personnel register. Historically, these registers have been kept in paper form.

This is a cumbersome and time-consuming task that is often not carried out: paper registers are either non-existent or not completed, which constitutes a risk for managers, boards and investors. Indeed, the penalties for failing to keep records are significant: fines of €1,500 to €3,000 for failing to keep a staff register, lack of proof of transfer of ownership of securities for failing to keep a securities movement register.

The solution: dematerialisation of social registers

Decree 2018-1226 of 24 December 2018, issued in application of Order 2017-1674 of 8 December 2017, legalises the registration of securities on blockchain. Similarly, Decree 2019-1118 of 31 October 2019 legalises the dematerialisation of registers of meetings and decisions of commercial and civil companies.

Based on these texts, Seraphin.legal and the General Register team have developed a a simple and intuitiveplatform for creating and managing company registers.

This platform allows the dematerialisation of all the mandatory registers of a company.

✅ Share movement register to secure shareholdings and offer share transfers online, with a "smart contract" (autonomous contract execution) to automate the register

✅ Register of meetings and decisions to create and chronologically record the minutes as evidence and in accordance with Article R. 227-1 of the Commercial Code.

✅ Single personnel register to record the entry and exit of employees (permanent contracts, fixed-term contracts, trainees, etc.) in order to comply with the Labour Code (Article L. 1221-13 et seq.).

The General Register also allows each user, thanks to the dashboard personalised according to his mandates, to manage and share the elements of the social life with his associates and to visualise his participations.
